Rob Viktum WAV Lease Terms

Nonexclusive Beat Lease Agreement

Version 8 RV-LEASE-WAV-8 October 27 2026

These are the terms of the nonexclusive WAV lease offered by Rob Viktum on robviktum.com. Read and retain them before accepting and paying. The purchased Beat and Licensee are identified in the order. A later exclusive sale does not cancel a valid earlier lease or change its original limits.

1 Parties order and electronic acceptance

Producer is Rob Viktum, a limited liability company, operating the beat store at robviktum.com. Licensee is the individual or entity identified by the legal name entered with the order. A person accepting for an entity confirms authority to bind it and the legal capacity to enter this Agreement.

This Agreement consists of these terms identified as RV-LEASE-WAV-8 and the qualifying order record: the Beat title and product or SKU, nonexclusive WAV lease, stated price and taxes, Licensee identity and order email, recorded affirmative acceptance, and completed-payment transaction record. The order identifies the purchased Beat; it does not license another beat. Retain the order confirmation and this exact version.

Producer intentionally adopts publication of this version under the name Rob Viktum on robviktum.com as its electronic signature and offer to be bound by qualifying orders. Licensee signs electronically by entering its legal name, affirmatively accepting the linked terms, and completing payment. No separate handwritten signature, later signature or countersignature is required. Subject to the availability rule below, the Effective Time is when affirmative assent and full completed payment are both recorded. A pending card authorization is not completed payment. The transaction record establishes the timestamp and time zone; a later payment dispute is governed by Section 12.

Only the first eligible exclusive order, determined by the store's completed-payment transaction records, can receive the exclusive grant. All valid nonexclusive licenses effective before that order's Effective Time remain valid on their original terms. No new lease is available after that time. A later order processed because a listing or cart had not updated is not accepted as a license grant; Producer will promptly cancel it and refund all captured price and tax for the unavailable license. This availability rule does not revoke an earlier effective license or limit mandatory remedies.

Beat Recording means the existing finished instrumental sound recording identified in the order and supplied as one stereo two-track WAV. Beat Composition means the music embodied in it. New Composition means the resulting song combining that music with authorized new lyrics or music. New Recording means the finished recording of that song. New Song refers to both new works as the context requires.

This license covers one New Song for one primary recording artist chosen by Licensee. Before the first public release, Licensee shall provide Producer with the song title or working title, primary artist and release details through the contact route in Section 13. Registration, payee and collaborator details are supplied as required by Section 6. Those later records document the already purchased license and do not postpone its Effective Time or require a new signature. A change of title for the same New Song is permitted; a separately written song or different primary artist requires another license.

2 Fee and WAV delivery

The WAV lease fee is USD 200.00, plus any tax separately shown at checkout. The upfront fee is paid to Producer for this license and the supplied WAV. It is separate from the 50/50 royalties below and is not divided with Licensee or recoupable from royalties unless the parties expressly agree otherwise in writing.

After completed payment, Producer shall make the original finished stereo two-track WAV available through the order's digital download link or delivery email. If technical processing delays delivery, Producer shall promptly provide the correct existing file through the contact route in Section 13. The Beat is licensed in its existing creative form, arrangement, sound, mix and mastering. No stems, trackouts, multitracks, isolated instrument files, MIDI, project or session files, MP3 delivery or alternate Beat versions are supplied. Producer does not offer revisions, remixes, rearrangements, tempo or key changes, new mixes or masters, sample replacements, or any other custom production adjustments. A creative preference or request for a change does not create an obligation to provide one and is not a delivery defect.

If the correct contracted WAV is missing, corrupted in delivery or replaced by an incorrect file, Producer shall promptly supply or resend that correct existing WAV after notice. This is a technical delivery correction, not a creative revision. The production policy does not reduce Producer's obligation to deliver the promised WAV and rights. If material nonperformance remains uncured under Section 12, Licensee may terminate and request repayment of the fee. Any other refund rights required by law are preserved.

Licensee should retain secure backups. A later exclusive transaction, storefront change or removal from sale does not revoke this license or an existing contractual delivery entitlement. Producer shall provide a reasonable route to redeliver the same purchased WAV on a verified request; this does not authorize expanded usage or an adjusted version.

3 Nonexclusive grant

During the five-year term and within the worldwide territory and limits in Section 4, Producer grants Licensee a nonexclusive license to the Beat Recording and the portion of the Beat Composition Producer controls, solely to create, reproduce, distribute, sell, stream and otherwise exploit the authorized New Song. This includes recording new vocals or instruments, editing arrangement, tempo, key and length, and mixing or mastering the supplied files for that New Song.

Within the usage allowances in Section 4, Licensee may distribute the New Recording through digital services and physical formats, perform the New Song publicly, and monetize permitted audio and video releases. Licensee may synchronize the New Song in the permitted number of official music or lyric videos and in promotional clips of up to 60 seconds advertising the New Song or the artist's performances of it. Those clips do not count as additional full length videos, but their views count toward the video view limit.

Licensee may authorize labels, distributors, platforms, engineers and other service providers to perform these permitted activities on Licensee's behalf. They receive no broader rights, no right to license the Beat for another artist's song, and no entitlement to retain or redistribute raw Beat files beyond their work for Licensee. Licensee remains responsible for its directions and contractual commitments to them.

4 Term usage limits and counting

The lease runs for five years from the Effective Time unless lawfully terminated under Section 12. The exact expiration follows from the completed-payment timestamp in the order record. The following numerical limits are cumulative across all authorized versions and platforms over that entire term.

Permitted use Allowance
Permanent song downloads 5,000 total, paid and free combined
Physical copies distributed 500 total
Eligible audio streams 500,000 total
Full-length music or lyric videos 2 total
Eligible video views 500,000 aggregate, including authorized videos and promotional clips
Live performances Unlimited, including paid events, during the term
Radio airplay Unlimited during the term

Unlimited removes only the identified numerical cap. It does not extend the term, enlarge permitted uses or grant exclusivity.

Counts are cumulative across Licensee's authorized versions, accounts and distributors. A permanent download is one delivered copy, whether paid or free, excluding personal backups and technical service copies. A physical copy is one unit distributed. Audio streams and video views are the eligible plays or views shown in the relevant platform reports, whether monetized or unmonetized. Video plays count only as video views, not again as audio streams. Do not count the same platform usage twice merely because both the platform and distributor report it. Unauthorized third party uploads outside Licensee's direction or control are excluded.

Licensee shall monitor available reports at least monthly and seek any needed extension or upgrade before expiration or a limit is exceeded. No automatic renewal, automatic upgrade, price lock or option is granted by this form. Any extension requires a new signed agreement, and Producer may be unable to grant it after an exclusive transaction.

Reaching a permitted number of videos, copies or performances bars additional items or events beyond that allowance. It does not require removal of videos already authorized within the remaining term and view allowance, or recall of lawfully distributed consumer copies. When the term expires or an ongoing audio stream or video view allowance is exhausted, Licensee must stop that affected continuing use and promptly request removal or restriction of controlled releases. Unaffected uses may continue within their own limits.

Up to 30 calendar days are allowed solely for good faith platform processing of timely removal requests. During that period Licensee may not launch new releases, manufacture or deliver additional copies, buy promotion for the affected use, or authorize additional exploitation. Incidental processing usage remains subject to accounting. This limited removal period does not reinstate a cap or create a general renewal, and prior authorized conduct does not become retroactively unauthorized.

5 Reserved rights and restrictions

Producer retains the Beat Recording and Beat Composition copyrights and all rights not expressly granted. Licensee may not sell, license, give away or distribute the Beat or its stems as standalone instrumentals, samples, loops, production assets or downloadable source files. An instrumental version that is substantially the supplied Beat requires separate permission. Licensee may not claim to have composed or produced the Beat.

Film, television, games, advertisements, brand campaigns, production libraries and synchronization uses other than the artist videos and promotional clips expressly permitted in Section 3 require separate written authorization covering the necessary recording and composition rights. Neither this Agreement nor possession of the files authorizes Licensee to clear another owner's rights.

Licensee may use Producer's professional name for the required credit and accurate identification of the collaboration. No endorsement, sponsorship, trademark ownership or general merchandising right is granted. Neither party may transfer this Agreement except under Section 11.

6 Ownership publishing and mechanical royalties

Licensee owns its original lyrics, performances and other new material, subject to its agreements with its collaborators. As between these parties, Licensee owns and controls the New Recording to the extent of its new authorship and authorized production, subject to Producer's continuing rights in the incorporated Beat Recording and this license. Producer does not acquire Licensee's vocals or other new contributions merely by supplying the Beat. A master royalty is a payment right and does not itself establish coownership of the New Recording.

The New Composition, on a 100 percent whole composition basis, is owned 50% by Producer and 50% by Licensee and its co-writers collectively. Publishing income from the New Composition, including mechanical royalties, public performance income and separately authorized composition synchronization income, is allocated in the same 50/50 proportions. The buyer side shares one collective 50%; no individual collaborator receives an additional 50%. This allocation does not change ownership of the underlying Beat Composition or automatically set individual authorship or a performing rights organization's writer/publisher reporting percentages.

Each party shall obtain the consents necessary for the interests it contributes or controls. No interest owned by an unconsenting third party is assigned or reduced by this Agreement. Licensee shall identify its collaborators and their allocation within the buyer side's 50%, and the parties shall exchange accurate writer, publisher, administrator, PRO, IPI and payee details before the relevant registration or royalty instruction is submitted. Missing identifiers do not change the agreed percentages or make a completed purchase ineffective.

Each owner administers its composition interest unless a separate written administration agreement provides otherwise. Registrations must identify actual authors and owners, disclose preexisting material and claim only the applicant's lawful rights. Licensee receives no general power to administer Producer's publishing, sign for Producer or compromise its retained income. The parties shall use accurate collection instructions and credit payments already made to the correct recipient. A direct payment that already represents a party's 50% share is credited in full and is not divided in half again.

For authorized direct physical and permanent-download sales, Producer grants the mechanical reproduction and distribution permission for the composition interest it controls. Producer's 50% share of Net Master Receipts from those sales is the total contractual remuneration owed to Producer for the licensed recording rights and those controlled mechanical rights in the same sales. No additional per-unit mechanical payment to Producer is imposed. Separately payable composition royalties from digital services, collection bodies or other authorized payors remain publishing income allocated 50/50. This does not waive third party obligations or royalties payable by a separate payor, or authorize uses outside this license.

Licensee remains responsible for permissions and payments for its exploitation that are not covered by the rights granted here or already properly licensed and paid by an authorized platform or payor. Payments correctly made to the applicable owner or collection body satisfy the same obligation to that extent. No income, payment obligation or payment credit is counted twice.

7 Master royalties and accounting

Licensee shall pay Producer 50% of Net Master Receipts. The remaining 50% is allocated to Licensee and its collaborators collectively. Net Master Receipts are amounts actually received from exploitation of the New Recording by Licensee, its controlled entities, its collection agents, or a permitted assignee of ownership or exclusive label exploitation rights in the New Recording. They include recording income from sales, streams, permitted video monetization, sound recording public performance or neighboring rights, and separately authorized recording synchronization, to the extent received by those recipients. Advances or minimum guarantees specifically attributable to the New Recording are included when received and not counted again when applied. A permitted master transferee must assume this royalty and accounting obligation in writing.

The only deductions are actual documented third party distribution and payment processing charges, refunds and chargebacks, and sales or similar transaction taxes remitted to a taxing authority, attributable to that income. A charge already netted from receipts cannot be deducted again. Recording, artist compensation, video, marketing, overhead, travel, legal, equipment and general recoupment costs are not deductions. The same receipt passing through several collecting parties is counted once. Direct payments to Producer credit the same royalty obligation in full.

Direct physical and permanent-download sale receipts covered by Section 6 are included in the master base; no extra mechanical pool or per-copy charge is imputed to those sales. Separately identifiable composition amounts under an actual external license or payor statement are allocated to composition income and excluded from the master base once. An amount already withheld or excluded from a remittance cannot be excluded again. Other songs and separately paid composition royalties are outside the master base. Bundled income requires a reasonable good faith allocation supported by records; income may not be diverted or relabeled to avoid the 50/50 shares. No other expense deduction is created by this allocation.

Within 60 days after each calendar quarter, Licensee shall provide a master royalty statement and pay amounts due, including a zero statement when no income was received. Statements must show income sources, deductions, calculation and payments made directly to Producer. Either party collecting publishing income belonging to the other shall also account for and remit that amount within 60 days after the quarter, subject to credits for proper direct collection. Licensee shall retain supporting master royalty records for four years. Producer may have an independent accountant inspect relevant records once per year on 30 days' notice, subject to confidentiality. Producer pays reasonable audit costs unless an underpayment exceeds five percent of the amount due for the audited period, in which case Licensee pays reasonable documented audit costs and the shortfall. Usage information reasonably needed to verify caps must also be supplied.

8 Earlier leases and a later exclusive sale

Producer may license or transfer rights in the Beat to other people, including through a later exclusive transaction, subject to this Agreement. Such a transaction does not cancel, shorten, increase the price of, or otherwise change this lease. Licensee may first release the New Song after that transaction if this lease remains in force and the release complies with its original terms.

Producer shall make any later exclusive grant expressly subject to this lease and other valid earlier grants, and shall require the successor to honor them. This survival preserves only the rights actually granted. It does not make a finite lease permanent or create renewal, upgrade, additional song or Content ID rights. Producer may disclose the agreement identifier, date, scope and necessary license evidence for that purpose, while minimizing disclosure of private customer details.

A later exclusive buyer has no authority under Producer's later agreement to demand removal of a use that this lease validly authorizes. Producer shall reasonably cooperate in resolving claims based only on the shared Beat. A proven breach of this lease remains subject to its own notice and remedy provisions.

9 Automated claims and ordinary monetization

Licensee must not enroll the Beat, or a reference containing the shared Beat, in Content ID or another automatic audio matching claim system, and must instruct its label and distributor accordingly. This restriction does not prevent ordinary distribution or monetization of the authorized New Song. It does not prohibit accurate registration of Licensee's own new composition or recording rights under Section 6.

Producer shall disclose existing matching registrations relevant to authorized use and configure any system it controls to avoid claims inconsistent with authorized use. Neither party may knowingly block, take down, or retain revenue from an authorized use merely because it contains the shared Beat. After receiving license evidence and a specific claim reference, the responsible party shall promptly investigate and, within five business days, submit a release or correction request for any improper claim it controls and cooperate until resolved. Wrongfully collected amounts must be remitted to the entitled party. Neither party guarantees a platform's processing time.

10 Credit samples and rights assurances

Licensee shall credit the production as Produced by Rob Viktum in release metadata wherever a producer field is available and in reasonably customary public credits, including official video descriptions it controls. Composition registrations must use accurate writer identities and verified identifiers. An inadvertent omission is subject to notice and correction under Section 12 and does not itself cause immediate forfeiture.

Producer represents that it controls the rights it grants or has the necessary authority to grant them. Producer shall identify known samples, interpolations, licensed loops, coowners, restrictions and existing claim registrations that materially affect the promised rights, and shall disclose material limitations clearly before purchase. This Agreement does not represent that the Beat contains no third party material. Producer is responsible for authority and clearances for material it supplied, except for a specific responsibility clearly disclosed and accepted before purchase. Licensee is responsible for material it adds and permissions from its own collaborators.

A third party sample or loop retains its source rights and restrictions; a nonexclusive element does not become exclusive through this transaction. Public release must wait until the permissions required for that release are secured. Neither party may make unsupported clearance representations for the other. An additional clearance cost or a new material restriction on Licensee requires its written agreement; an undisclosed Producer-supplied clearance problem is not automatically shifted to Licensee.

If a necessary permission for material supplied in the Beat cannot be obtained for the promised use, Licensee may cancel before public release by written notice. Producer shall return the license fee within ten business days, together with refundable tax as required by law; previously approved clearance costs may not be deducted from that refund. No further use under the canceled grant is permitted. Producer has no obligation to alter the Beat or supply substitute creative content. This cancellation right does not arise merely because Licensee cannot clear material it chooses to add. A failure to supply promised rights or perform an allocated duty is also subject to Section 12 and mandatory remedies. Other customers' valid licenses remain intact.

11 Transfers and third party claims

Licensee may use service providers under Section 3 but may assign this Agreement or license the Beat to another principal only with Producer's written consent. Any permitted assignee must assume the relevant obligations in writing. Producer may transfer its retained rights only subject to this Agreement and the transferee's written assumption of continuing obligations. A transfer does not release the transferring party from accrued obligations without the other party's written consent.

Each party shall indemnify the other against third party claims, damages finally awarded, approved settlements and reasonable defense costs to the extent caused by its breach of the rights assurances in Section 10 or its knowing exploitation outside the rights it owns or controls. This obligation is reduced to the extent the other party caused the claim. The protected party must give prompt notice, permit reasonable control of the defense and cooperate at the responsible party's expense. No settlement may admit fault or impose nonmonetary duties on the protected party without its written consent. These duties do not create missing copyright permissions.

12 Breach cure and remedies

Except for the natural expiration and use limits in Section 4, a party seeking termination must give written notice describing the material breach and allow 30 calendar days to cure. For an improper automated claim, the five business day correction duty in Section 9 applies during that cure period. The parties may seek lawful urgent relief for continuing unauthorized distribution or wrongful blocking without dispensing with any other required procedure.

If a material breach remains uncured after the applicable notice period, the nonbreaching party may terminate this Agreement by written notice and pursue remedies available under law. If Producer materially fails to deliver or grant the promised rights, Licensee may recover the license fee upon termination, without waiving any nonwaivable rights or other proven remedy. A payment reversal is not conclusive proof of wrongdoing and must be addressed on its merits.

After lawful termination, Licensee must stop uses that depend on the terminated license and promptly request platform removal. The limited technical removal process in Section 4 applies. Licensee retains ownership of its original additions and may reuse them without the Beat. Accrued payment, accounting, confidentiality of records, claim correction and third party defense obligations survive as needed. Neither a refund request nor a later exclusive offer allows Producer to revoke a compliant lease at will. Any damages or equitable remedy remains subject to applicable law; no automatic penalty or guaranteed injunction is created.

13 Electronic records notices and changes

The parties agree to use electronic records for this transaction and its licensing communications. Licensee needs an internet-connected device with a browser that can display and save or print these HTML terms, and access to the email address supplied with the order. Before paying, Licensee can open and retain this version. Producer shall preserve the accepted version and associated order record and make a retainable copy available to Licensee. A copy or paper copy may be requested without a contract-copy fee through the contact route below. This consent concerns this license and its administration; it is not consent to unrelated marketing.

Notices to Producer must be submitted through https://robviktum.com/pages/contact, identifying the order and a reply email, or through a notice address Producer subsequently supplies in writing. Notices to Licensee must be sent to the order email or its later notified replacement. Notice is received when acknowledged or reliable delivery evidence establishes delivery. A failed or bounced submission is ineffective and must be resent through a reliable contact method. Both parties shall keep their contact information current.

Licensee may request paper records, update its email or withdraw consent to future electronic records through the same contact route. Withdrawal operates prospectively after a reasonable processing period, does not undo this Agreement or earlier records, and does not create a fee or terminate the license. The parties shall arrange an appropriate alternative for any notices that must still be delivered. If a material change in access requirements would affect retention of required electronic records, Producer shall provide the legally required notice and consent process.

A later amendment must identify the affected terms and be accepted by both parties with intent to amend, including by valid electronic signatures. Later website edits, product descriptions, prices, distributor terms and revised contract versions do not change an existing order's Agreement. An amendment cannot extinguish another person's rights without that person's consent.

14 Applicable law and general provisions

This Agreement is governed by the law applicable under the relevant conflict-of-laws rules, together with applicable copyright law. Disputes may be brought in a court having jurisdiction under applicable law. No specific state, exclusive venue, arbitration agreement or class action waiver is selected by these terms. Mandatory jurisdiction, consumer protection and other nonwaivable rights remain applicable. Each party bears its own legal costs except for the expressly allocated third party defense or audit costs and any award permitted by law.

This identified version and the incorporated order record contain the entire agreement on this Beat license. Any separately accepted amendment controls only the provisions it expressly changes. If a provision is unenforceable, the remainder continues to the extent lawful and practicable. Delayed enforcement or an isolated waiver does not waive future compliance. No partnership, employment, agency or work made for hire relationship is created. Nonwaivable statutory rights, including applicable copyright termination and consumer rights, remain intact.
